1. Introduction

These Terms and Conditions govern the use of public warehousing, storage, and related logistics services provided by Provenance Agricultural Partners (“we,” “our,” or “the Company”). By delivering goods to us or using our services, clients (“you”) agree to be bound by these Terms.

2. Scope of Services

We provide warehousing and storage services for:

  • Farm products (including but not limited to sesame seeds, ginger, grains)
  • Refrigerated and temperature-controlled goods
  • Household and general goods

Services may include receiving, handling, storage, inventory management, and release of goods as agreed.

3. Client Responsibilities

Clients agree to:

  • Ensure all goods are accurately described, properly packaged, labeled, and compliant with applicable laws.
  • Declare any perishable, hazardous, or regulated goods prior to storage.
  • Provide accurate documentation for agricultural or export-related goods.

We reserve the right to refuse goods that are unsafe, illegal, or improperly documented.

4. Storage Conditions

  • Refrigerated goods will be stored under agreed temperature conditions.
  • Farm products will be handled in accordance with standard industry practices.
  • We are not responsible for deterioration resulting from inherent qualities of the goods (e.g., natural spoilage, moisture loss).

5. Fees and Payments

  • Storage and handling fees are charged as agreed in contracts or rate schedules.
  • Payments must be made within the agreed time period.
  • Late payments may result in additional charges or suspension of services.

6. Liability and Risk

  • Goods are stored at the client’s risk unless otherwise stated in a written agreement.
  • Our liability, if any, is limited to losses caused by proven negligence and shall not exceed the declared value of the goods.
  • We are not liable for losses caused by force majeure events (fire, flood, power outages, natural disasters, government actions).

7. Insurance

Clients are responsible for insuring their goods unless insurance coverage is explicitly provided by us in writing.

8. Access and Release of Goods

Goods will only be released upon proper authorization and settlement of outstanding charges.

9. Termination

Either party may terminate services in accordance with contractual notice periods. Outstanding obligations must be settled before termination is finalized.

10. Governing Law

These Terms are governed by the applicable laws of the country where the warehouse operations are located.
